Music Nation is a national online video/talent contest for entrants ages 14 (with parental consent) and older. Every week, the public and a panel of judges will vote for two artists from each genre (Rock, Pop and Urban). These weekly winners will then compete in the quarterfinals. Twelve semifinalists will be chosen after Week 13. At the end of the 15-week competition, one winner in each genre will be crowned. The three winners will each receive a global recording contract with Epic Records and will perform on Clear Channel's exclusive in-studio performance series, STRIPPED.

Each genre is supervised by a panel of expert judges. In Rock there are Joel and Benji Madden of Good Charlotte and producer Howard Benson (The All-American Rejects, Hoobastank, and My Chemical Romance). In Urban there's The Game, Nelly, and Mark Pitts (President of Urban Music at Jive Records). The Pop genre sees producer Jonathan “J.R.” Rotem (Britney Spears, Jennifer Lopez, and Rihanna) and Charlie Walk (President of Epic Records) at the helm.

This opportunity is open to both Supersonic and Standard Sonicbids members who have a video to upload to the Music Nation website. Artists may submit as many videos as they like, but must pay a submission fee for each video they submit.

*Important:*Once you complete your submission, you will be sent an e-mail that contains a unique promo code you will use to upload your video to the Music Nation website free of charge. Here are the steps to submit to the Music Nation contest:

  1. Submit your EPK through Sonicbids.
  2. Within 24 hours of your submission you will receive an e-mail from Music Nation that contains your unique promo code.
  3. Go to www.MusicNation.com and register to submit your video(s).
  4. Once you’ve registered and uploaded your video (make sure it fits the file type and conditions below) you will be prompted to enter the unique promo code that you received in the Music Nation e-mail. This code will verify that you have already paid for your submission through Sonicbids.

Your video (1) must be in AVI (Audio Video Interleave); MOV (QuickTime); DV (Digital Videos); MPG (MPEG-2); ASF/WMV (Windows Media Video); or MP4 (MPEG-4) format; (2) must not be larger than 100MB; (3) must not be longer than 10 minutes; and (4) must have a resolution of 320 x 240.

Please Note: Unfortunately, residents of Arizona, Connecticut, Iowa, or Vermont are NOT eligible to participate in this contest due to state regulations. This contest is only open to U.S. residents.

OFFICIAL RULES/PARTICIPATION AGREEMENT FOR MUSIC NATION CONTEST
OPEN ONLY TO LEGAL RESIDENTS OF THE UNITED STATES EXCLUDING RESIDENTS OF AZ, CT, IA, AND VT. SUBMISSION OF A COMPLETED REGISTRATION ON THE CONTEST SITE CONSTITUTES ACCEPTANCE OF THESE OFFICIAL RULES/PARTICIPATION AGREEMENT ("OFFICIAL RULES/ PARTICIPATION AGREEMENT"). VOID WHERE PROHIBITED.
ELIGIBILITY

To be eligible to participate in the Music Nation Contest ("Contest"), you must (i) be a legal U.S. resident in any state except Arizona, Connecticut, Iowa and Vermont; (ii) who has registered on Music Nation's web site, see below for registration requirements, and (iii) is above the age of fourteen (14) in the state in which you reside at the time of registration. As used in these Official Rules "you" refers to you and all members of your musical group on whose behalf you are entering this Contest. Additionally, you or any member in your musical group must not be under any third party agreement with a record label, production company, publishing company or any other third party who might interfere with your participation in this Contest and/or receipt of the prizes awarded. If you are at least 14 years of age (but under the age of majority in the state in which you reside), you will need to have your parents consent to your registration into the Contest (please see the section below called VIDEO SUBMISSIONS BY MINORS). Employees, officers, and directors of the member companies of Music Nation, Sony BMG Music Entertainment ("Sony BMG"), and Clear Channel Communications, their subsidiaries and affiliated companies and their immediate families and those living in their households, are not eligible to participate in the Contest. VOID WHERE PROHIBITED. All federal, state and local laws and regulations apply.
SPONSOR

Music Nation, Inc., located at 455 Broadway, 4th Floor, New York, New York 10013, is the sponsor of the Contest ("Sponsor" or "Music Nation").

PERSONAL INFORMATION

Sponsor will be collecting personal information about participants when they register and participate in the Contest. Sponsor will share this personal information in order to fulfill the requirements of the Contest, including sharing such information with record label partners, promotional partners, agents and other third parties in connection with the Contest. In addition, Sponsor may, at its discretion, share your personal information with its affiliates, parent, and subsidiary companies, or other third parties whose products and services Sponsor believes may be of interest to you. For more information on the privacy practices of Sponsor, please visit the privacy policy located at http://musicnation.com/privacy. Submission of a completed registration constitutes acceptance of these Official Rules/Participation Agreement, including the terms of the Privacy Policy.

TERM

The Contest will commence on January 29, 2007 at 12:01 a.m. EST and end on May 14, 2007 at 11:59 p.m. EST ("Term"). However, you may submit a Video (as defined below) without paying the entry fee prior to January 29, 2007. Videos submitted prior to January 29, 2007 are eligible to compete to win the Grand Prize. You may submit as many Videos as you wish, however you will need to pay an entry fee for each Video submitted during the Term.

HOW TO PARTICIPATE

To submit a Video, you must first register on the Contest web site. You will only have to register one time to submit a Video(s). A completed registration constitutes acceptance of these Official Rules. To register, visit the general Contest homepage at www.musicnation.com ("Contest Site"), and submit the required information, including your first and last name, email address, telephone number, business and home address, date of birth and phone number(s). After registering, you may participate in the Contest by submitting a Video. To submit your Video, take the following steps:

1. Payment

Commencing on January 29, 2007 at 12:01 am EST, to submit a Video into the Contest you must pay the $25.00 entry fee to the Sponsor. You may make payment with a valid credit card or via Paypal on the Contest Site. The entry fee is non-refundable.

2. Submit Your Video

Your submission ("Video") must meet the following requirements: (1) it must be in AVI (Audio Video Interleave); MOV (QuickTime); DV (Digital Videos); MPG (MPEG-2); ASF/WMV (Windows Media Video); or MP4 (MPEG-4) format; (2) it must not be larger than 100MB; (3) it must not be longer than 10 minutes; and (4) it must have a resolution of 320 x 240.

After creating the Video, you may upload it onto the Contest Site to submit it into the music genre that you believe best describes the Video. The musical genres are: Rock, Pop, and Urban. Your Video will then be considered in a competition against all of the other Videos submitted in that particular musical genre. For example, if you submit a "Rock" Video, you will be competing to win against the other participants who submit "Rock" Videos.

3. WARRANTY

By submitting a Video you warrant and represent that the Video is an original work, created solely by you, and it does not infringe on any third party's intellectual property rights, including copyrights, trademarks, or other proprietary or personal rights. You warrant and represent that the Video does not contain defamatory, inaccurate, abusive, obscene, profane, sexually oriented, or threatening material. The song you perform shall either be designated by Sponsor, or shall be a song that you own or control, or for which you have obtained a license for all of the uses to be made of the Video by Sponsor and/or its licensees pursuant to the grant of rights hereunder for either commercial or promotional purposes. You warrant and represent that the Video is free and clear of any claims and liens by any person whose performances or depictions are embodied in the work, or any person rendering services in connection with the work. You warrant and represent that the Video does not contain any materials owned or controlled by a third party for which you have not obtained a license, including without limitation, samples, clips, "mashups," "remixes," or the like. Music Nation reserves the right to remove any Video that it deems to be in violation of these Official Rules, including but not limited to this Warranty, without refund of the $25.00 entry fee.

Please read the Section of these Official Rules entitled "Eligibility," "Conditions on Participation," "Ownership in Video," "Warranty," and "Publicity Release" before submitting any Video on the Contest Site. If your Video cannot meet these requirements, please do not submit it.

VIDEO SUBMISSION BY MINORS

If you are fourteen (14) years of age or older, but under the age of majority in the state in which you reside, you will need to have your parents consent to your registration. In order for Music Nation to obtain this consent, we will require you to submit your parent or legal guardian's email address at the time that you register. We will send your parent or legal guardian an email informing him/her of your attempted registration and provide him/her with a copy of these Official Rules/Participant Agreement and the other applicable terms (e.g the Privacy Policy). At that time, your parent or legal guardian may consent to your registration by replying to the email notification as set forth in the notification. If we do not receive the proper consent, your registration will be deleted and you will not be eligible to compete in the Contest.

CONDITIONS ON PARTICIPATION

By participating in the Contest, you agree: (a) to be bound by these Official Rules; (b) as between you and the Sponsor, that the decisions of the Sponsor are final on all matters relating to the Contest; (c) you are not participating on behalf of any employer or third party; (d) if you are a party to any third party agreement with a record label, production company, publishing company, or any other third party, such agreement does not interfere with your participation in this Contest and/or receipt of the prizes awarded; and (e) you will not enter into an agreement with any entity that would grant or transfer any rights in the Video or any existing or yet to be created musical recordings, phonorecords, or original musical compositions written or recorded by you during the Term plus ninety (90) days.

All registrations and votes become the property of Sponsor. They will not be returned or acknowledged. Sponsor is not responsible for lost, late, misdirected, incomplete, illegible entries, Videos or votes, or for any computer-related, online, telephonic, or technical malfunctions that may occur. Registration, votes, and Videos and will be considered void if they are in whole or in part illegible, incomplete, damaged, irregular, altered, counterfeit, produced in error, forged, mechanically reproduced, or obtained through fraud or theft.

OWNERSHIP IN VIDEO AND LICENSES GRANTED

You retain all ownership rights that you have in your Video if you have created your Video yourself. However, by submitting the Video to Sponsor, you hereby grant to Sponsor a worldwide, non-exclusive, non-restrictive, royalty-free, sublicenseable, and transferable license to use, reproduce, distribute, transmit, make available, prepare derivative works of, display, and perform the Video (including any title of the Video and your name and likeness), and any audio and/or visual excerpts thereof, in connection with the Contest, on MusicNation.com (and all places where some or all of the content from MusicNation.com is available), and otherwise in connection with any of Music Nation's current and/or future businesses, including without limitation for promoting and redistributing part or all of MusicNation.com (and derivative works thereof) in any media formats and through any media channels. Please note that the Quarter Finalist Option Agreement (described in detail below) will grant to Sony BMG the exclusive option to acquire ownership in the Video, which may be assigned to Music Nation. You also hereby grant each user of MusicNation.com a non-exclusive license to access and view the Video. If you do not want Sony BMG or Music Nation to share your Video or obtain any rights in your Video, please do not participate in the Contest.

Publicity Release. Additionally, you agree to grant to Music Nation all rights to use any Video that you submit, and your image, likeness, voice, name, and photograph in correlation with the Video in any publicity or advertising relating to the Video, Music Nation, and/or the Contest, without compensation or further approval (except where prohibited by law).

HOW TO WIN
Weekly Rounds

The Contest starts off with twelve (12) weekly rounds of judging during the Term of the Contest. Each week, a panel of judges who have experience or knowledge related to the music or entertainment industries ("Judges") and consumer voters ("Voters") will vote to select two (2) participants from each musical genre as potential Quarter Finalists. Specifically, the Judges will review all Videos and, in their sole discretion, will select one (1) participant from each musical genre during each weekly round to be a potential Quarter Finalist. The second person to be selected each week from each musical genre as a potential Quarter Finalist will be suggested by Voters, subject to final approval by the Judges to ensure that the voters comply with the rules and the judging criteria described below. During the Term, voters may make only one (1) vote per video per day during the Contest via the Contest Site and one (1) vote per video per day via text message. Votes generated by a robotic, programmed, script, macro, or other automated means will be void and will not be counted.
In the last week of the weekly rounds, submissions will only be allowed on Sunday and Monday in order to allow time for voting and evaluation of the Videos.

* Voters will select one (1) participant subject to final approval by the Judges.

The Judges and Voters must use the following judging criteria when reviewing the participants and placing their votes:

Musicianship - 20%
Performance skills - 30%
Image - 30%
Personality - 10%
Song choice - 10%

Votes and Judges points may not be accumulated or combined from the weekly rounds. Each week, all eligible remaining participants will be evaluated based on the judging criteria listed above and no weight or value will be given to any previous evaluation(s) related to a Videos previously evaluated, but not selected to advance to the next round of the Contest. Participants who are not selected during a weekly round will remain in the pool of participants and may be selected in a later week. At the end of the 12 weekly rounds, if a participant has not been selected, he or she will not be able to move to the Quarter Finals. At the end of the 12 weekly rounds, there will be seventy two (72) participants (twenty four (24) in each genre) who move forward into the Quarter Final Round.

In the event of a tie during a weekly round, the Sponsor will select the tied participant with the highest score in the category of "Performance Skills."

Quarter Final Round

To be eligible to participate in the Quarter Final Round, all seventy two (72) participants who were selected to move forward to the Quarter Final Round must sign an Affidavit of Eligibility, Publicity/Liability Release, and the Quarter Finalist Option Agreement (described herein) and provide parental consent for such agreements (if necessary). Only if these documents are fully executed may the participant move into the Quarter Final Round. If a participant: (a) does not wish to move forward to the Quarter Final Round; (b) is ineligible; or (c) does not complete and return the required Affidavit of Eligibility, Publicity/Liability Release, and the Quarter Finalist Option Agreement within two (2) weeks of receiving these documents, the participant will be disqualified and Sponsor will select, as an alternative, the participant who had the next highest score in the applicable weekly round. For more information on the Quarter Finalist Option Agreement, see the section titled "QUARTER FINALIST OPTION AGREEMENT" below.

All eligible Quarter Finalist Videos will be published on the Contest Site for a period of one (1) week. During this week, the Videos will be displayed for Voters to evaluate and place their votes. After the week-long time period, no more votes will be accepted and the Judges will then evaluate the Quarter Finalist Videos based on the following criteria:

Musicianship - 30%
Performance skills - 30%
Consumer Votes - 40%

The twelve (12) participants from each genre who have the highest score will move into the Semi-Final Round. In the event of a tie during the Quarter Final Round, Sponsor will select the tied participant with the highest score in the category of "Performance Skills."
Semi-Final Round

All eligible Semi-Finalist Videos will be published on the Contest Site for a period of one (1) week. Music Nation reserves the right to designate a song to be recorded by each or any Semi-Finalist. During this week the Videos will be displayed for Voters to evaluate and place their votes. After the week-long time period, no more votes will be accepted and the Judges will then evaluate the Semi-Finalist Videos based on the following criteria:

Musicianship - 30%
Performance skills - 30%
Consumer Votes - 40%

The Judges will select the two (2) participants in each music genre with the highest scores. At the end of the Semi-Final Round, there will be a total of 6 participants who will advance to the Final Round.

In the event of a tie during the Semi-Final Round, the Sponsor will select the tied participant with the highest score in the category of "Performance Skills."
Final Round

In the Final Round, there will be a total of six (6) Finalists comprised of two (2) Finalists per music genre. Music Nation reserves the right to designate a song to be recorded by each or any Finalist. After reviewing Videos from the six (6) Finalists, a panel of judges comprised of individuals from Music Nation and Epic Records (Finalist Judges) will evaluate the Videos based on the following criteria:

Musicianship - 20%
Performance skills - 30%
Image - 20%
Personality - 10%
Entertainment - 10%

At the end of the Final Round, which will be on or about May 14, 2007, the Finalist Judges will select one (1) potential Grand Prize winner in each music genre (for a total of three (3) potential Grand Prize winners) to receive the Grand Prize described below. In the event of a tie during the Final Round, the Sponsor will select the tied participant with the highest combined score in the categories of Musicianship and Performance Skills.

WINNER NOTIFICATION

Within seven (7) days of determining the three (3) Grand Prize winners on or about May 14, 2007, Music Nation will notify each potential Grand Prize Winner. The potential Grand Prize Winners will be notified by e-mail. Each potential Grand Prize Winner must respond to the e-mail within seven (7) days to be eligible to receive the Grand Prize. Sponsor and Sony BMG Music Entertainment and their affiliates, parent, and subsidiary companies, employees, agents, officers, and directors, advertising and contest agencies, and their respective officers, directors, employees, and their respective agents will not be liable for unsuccessful efforts to notify any potential Grand Prize Winner(s).

If a potential Grand Prize winner declines the Grand Prize, fails to claim the Grand Prize, fails to meet the requirements for fulfillment of the Grand Prize, fails to abide by the Official Rules, or is otherwise determined to be ineligible in Sponsor's sole discretion, Sponsor may select as a new potential Grand Prize winner, the participant with the next highest score in the music genre in the Final Round of the Contest.

PARTICIPANT OPTION AGREEMENT

By entering this Contest, you agree to grant to Sony BMG the following exclusive, option during the Term of the Contest and for a period of ninety (90) days following the Term, for Sony BMG to enter into a recording agreement, which will include the exclusive right to record and distribute a minimum of two (2) sound recordings. This option may be assigned, at Sony BMG's election, to Music Nation. Additionally, without limiting anything contained in the Official Rules/Participation Agreement, you grant to Music Nation an exclusive option to enter into an Enhanced Development Agreement that grants to Music Nation profit-sharing rights with respect to music compositions, licensing, performance, sponsorship, and merchandizing revenue, which will be negotiated in good faith in the event that Music Nation exercises such option. However, Sony BMG and Music Nation are under no obligation to enter into the above-described agreements merely because you enter the Contest. These rules state that Music Nation merely has the option to enter into an agreement. In addition, you agree not to enter into any deal with any other recording company for the term of the Contest plus ninety (90) days.

QUARTER FINALIST OPTION AGREEMENTS

If you are selected to become a Quarter Finalist, you will be required to sign a written Quarter Finalist Option Agreement with Sony BMG Music Entertainment that grants to Sony BMG the option to enter into an exclusive recording agreement with you, which will include the exclusive right to record and distribute sound recordings and which will, at a minimum, include all customary terms in a recording agreement for development level artists.

If you are selected to become a Quarter Finalist, but do not win the Contest, you agree to grant to Sony BMG the option to enter into a demo-type recording agreement with you which will, at a minimum, include all customary terms in a demo-type recording agreement for development level artists.

Both the development and demo agreements described above are available upon request from Music Nation. Click here to request a summary of these agreements.

Sony BMG is not obligated to enter into the above-described agreement(s) merely because you qualify for the Quarter Final Round These rules state merely provide Sony BMG with the option to enter into an agreement with you. If you do not win the Contest, Sony BMG may assign the above-described options to Music Nation.

QUARTER FINALIST ENHANCED DEVELOPMENT AGREEMENT

If you are selected to become a Quarter Finalist, you will be required to sign a written Quarter Finalist Enhanced Development Agreement with Music Nation that grants to Music Nation, profit-sharing rights with respect to music compositions, licensing, performance, sponsorship, and merchandizing revenue not otherwise covered in the Quarter Finalist Option Agreement.

Each Quarter Finalist will also be required to sign an agreement and release confirming compliance with these Official Rules and acceptance of the prize as offered and releasing Sponsor, Sony BMG and their agencies from any and all liability for any loss, harm, damages, cost or expense arising out of participation in the Contest, or participating in any prize-related activity or the acceptance, use or misuse of any prize, including without limitation costs injuries, losses, and damages related to personal injuries, death, damage to, loss, or destruction of property, rights of publicity or privacy, defamation, or portrayal in a false light, or from any and all claims of third parties arising therefrom.

WHAT DO YOU WIN?

Grand Prize. The participant selected as the Grand Prize winner in each music genre will receive: (i) a recording agreement with Sony BMG which consists of Sony BMG's exercise of the Quarter Finalist Option Agreement described above; (ii) an appearance on, and promotional support for, Clear Channel's in-studio performance series called "Stripped"; and (iii) a one (1) year sponsorship from Gibson Guitars.

Approximate Value of the Grand Prize: $250,000

The Grand Prize winner will also be provided with hotel accommodations and airfare for any promotional obligations that arise out of the Contest (e.g. television appearances).

Music Nation reserves the right, in it sole discretion, to disqualify any entrant who is under a third-party agreement which Music Nation deems as contradictory to the amateur nature of this Contest. Music Nation assumes no responsibility for any disputes among members of bands that are entered into the Contest with regard to the songs submitted into the Contest, or any disputes among the various individuals and/or entities that have collective interest in any submitted song. In the event that any such dispute or personnel change interferes with the operation of the Contest, entrants and their respective band members involved in the dispute may be disqualified, in Music Nation's sole discretion.

Music Nation reserves the right to hold additional, separate sub-contests that will be announced during the term of the Contest. In the event that the Music Nation chooses to hold additional, separate sub-contests, it will post the information on the Contest Site.

ABILITY TO TERMINATE

Music Nation reserves the right, in its sole discretion, to cancel, terminate, modify or suspend all or part of the Contest. If Music Nation, in its sole discretion, determines that the Contest, or a portion of the Contest, is impractical, or if any portion of the Contest is deemed to be fraudulent, void, unlawful or if there are any technical or administrative malfunctions, errors or other problems that affect the structure, terms or lawful administration of the Contest, Music Nation may terminate, cancel or otherwise modify the applicable Contest, in whole or in part.

DISQUALIFICATION

Any violation of these official rules by any participant, in Music Nation's sole discretion will result in such participant's immediate disqualification from the Contest.

LIMITATION OF LIABILITY.

By submitting a completed registration on the Contest Site, participants release Music Nation, Sony/BMG, and Clear Channel Communications and their affiliates, parents, and subsidiaries companies, record label partners, sponsors, employees, agents and officers, advertising and promotion agencies, as well as all others associated with the development and execution of the Contest, from and against any and all liability with respect to or in any way arising from the Contest, and the awarding and use of any prize(s). Music Nation assumes no responsibility for any error, omission, interruption, deletion, defect, or delay in operation or transmission, communications line failure, theft or destruction of, or unauthorized access to, any Contest registration, voting or Video submission, or alteration of registration data.

LAWS

The Contest is governed by the laws of New York without regard to the conflicts of law provisions.

WINNER'S LIST

To obtain the names of the winners of the Contest, please visit the Contest Site located at www.musicnation.com where a winners list will be posted for one hundred twenty (120) days following the completion of the Contest.
