Summary is offering the acapella version of "Cry" from Lifeline's new release "Cry" for remixing. This track features the vocals of Darryl D'Bonneau, a popular dance music artist. We are looking for someone with the creativity to take the acapella version and drive it into a full version house remix or hip-hop remix using your samples.

The winning remixer will receive $200, plus have their version on the upcoming “Cry” Dance Single. The second and third place winners will have their album cut on vinyl.

Before entering through Sonicbids, you must go to the Internet Records website and download the free vocal samples. From there, it is up to you to mix the vocal tracks into your own remix - and then upload your submission through Sonicbids.

Terms And Conditions

The "Cry" remix contest begins on or around 9:00 a.m. Eastern Standard Time on Monday , February 28, 2005 and ends at 12:00 a.m. midnight Eastern Standard Time on Thrusday, March 31, 2005 (the "Entry Period"). All entries must have completed uploading by the end of the Entry Period. Entries that finish uploading after this time will not be considered by the judges. The Contest shall be construed according to, and governed exclusively by United States law. By participating in the Contest, each entrant unconditionally accepts and agrees to comply with and abide by these Official Rules and the decisions of Internet Records, P.O.Box 92,Oceanside, New York, NY 11572 (collectively, "Sponsor(s)"), which shall be final and binding in all respects.

1. Eligibility:

Void where prohibited or restricted by law. No purchase necessary. The Contest is open to entrants who are at least the legal age of majority for entering into contracts in the country in which they reside ("Legal Age"). Entrants who are younger than the applicable Legal Age, but who are at least 14 years of age may enter into the Contest on the condition that their parent or legal guardian approves such participation and follows the instructions found on the "Website" (as defined below) for sending their approval to the Sponsors. Employees, officers, directors, agents and representatives of the Sponsors and their respective parent companies, affiliates and subsidiaries, and immediate family members of any of the foregoing, are not eligible to enter the Contest.

2. How to Enter:

Use your mixing software to create a remixed version of Cry (a "Remix") or a new composition incorporating elements from the Vocal Track (Loops). You may create your Remix(es) either solely from the Loops or from the Loops plus other elements ("Additional Elements"), but please note that, by entering the Contest, you warrant and represent that you have the right to use such Additional Elements and such use does not infringe upon the rights of any third party. Enter as many Remixes as you want. All Remixes remain the property of Internet Records and will not be returned.

Upload your Remix(es) onto the Website. Make certain that your entry is uploaded to the Contest by clicking the Upload My song link on the Contest page on the Website. Entries not uploaded by clicking the Upload My Entry link on the Contest page on the Website will not be considered by the judges.

Although not a requirement, it is suggested that all entries have some element of the original song title or artist's name in their title, denoting them as entries in the Contest.

Entrants must provide accurate contact information (valid e-mail and postal addresses) in their registration at the Website for the purpose of contacting winners.

3. Ownership:

By entering your Remix in the Contest, you acknowledge and agree that: (a) Internet Records will maintain ownership of the Master and the Loops, and will own all Remixes entered by you in the Contest or otherwise uploaded to the Website (the Master, the Loops and the Remixes being collectively referred to herein as the "Materials"), and (b) as between you and Internet Records, Internet Records will own all publishing rights in and to the Materials. Each entrant into the Contest hereby grants, sells, transfers, assigns and conveys to Internet Records, its successors and assigns, all present and future right, title and interest of every kind and nature whatsoever, including, without limitation, all copyrights, all music and music publishing rights, and all rights incidental, subsidiary, ancillary or allied thereto (including, without limitation, all derivative rights) in and to the Remix(es) for exploitation throughout the universe, in perpetuity, by means of any and all media and devices whether now known or hereafter devised (the "Rights"). Sponsors shall have the right, in their sole discretion, to edit, composite, morph, scan, duplicate, or alter, the Remix(es) for any purpose which Sponsors deems necessary or desirable, and each entrant irrevocably waives any and all so-called moral rights they may have in the Remix(es) submitted by him or her. Each entrant hereby acknowledges that such entrant does not reserve any rights in and to the Remixes. Notwithstanding the forgoing, an entrant will retain whatever rights such entrant had in and to any Additional Elements that may be incorporated into a particular Remix, subject to an irrevocable, royalty-free, worldwide, non-exclusive license to use such Additional Elements throughout the universe in perpetuity in any and all media now known or hereafter devised.

4. Use of the Loops:

By entering the Contest, each entrant acknowledges and agrees that: (a) Sponsors are granting entrants a limited, non-exclusive license to use the Loops only in, in connection with, and as a part of the Contest and only for the duration of the Contest, (b) entrants shall have no right, title or interest in the Loops, and (c) any use of the Loops other than as permitted by these Official Rules will constitute a violation of the Contest Rules and may constitute copyright infringement.
5. Selection and Notification of Winners:

At the end of the Entry Period, members from Internet Records will select one grand prize winner for the Contest based on the artistic and creative quality of the Remix(es). Judges' decisions shall be final and binding. Winner(s) will be notified by telephone and/or mail and/or email. Sponsor shall have no liability for any winner notification that is lost, intercepted or not received by the potential winner for any reason. If, despite reasonable efforts, a winner does not respond within five (5) days of the first notification attempt, or if the prize or prize notification is returned as unclaimed or undeliverable to such potential winner, such potential winner will forfeit his or her prize. If any potential winner is found to be ineligible, or if he or she has not complied with these Official Rules, such potential winner will be disqualified and an alternate winner may be selected. Winners (or such winner's parent or legal guardian in the event the winner is not of the legal age of majority in his/her state of residence (Minor)) may be required to execute and return an Affidavit of Eligibility, Liability/Publicity Release and the Assignment Agreement referenced above within seven (7) days following the date of attempted notification. If a selected winner fails to claim a prize and/or fails to return any Affidavit of Eligibility and Liability/Publicity Release (if required) within the applicable time period, Sponsors may elect to disqualify the selected winner, who will then forfeit his or her right to receive a prize. By accepting a prize, each winner agrees that Sponsors may, without any limitation or further compensation, use his or her name, screen name, voice and/or likeness in any and all media for the purpose of advertising and promoting themselves, the Website, the Contest, or any other promotion, contest or sweepstakes sponsored by the Sponsors.

6. Representations And Warranties/Indemnification:

Each person who enters this Contest represents and warrants to Sponsors as follows: (a) the Remix(es) is/are the entrants own original, previously-unrecorded work, (b) the Remix(es) is/are wholly original with entrant and as of the date of submission, is not the subject of any actual or threatened litigation or claim, (c) the Remix(es) do/does not infringe upon or violate the intellectual property rights or other rights of any other person or entity, and (d) the Remix(es) do/does not and will not violate any applicable laws, and is not and will not be defamatory, libelous, pornographic, or obscene. Each entrant hereby agrees to indemnify and hold Sponsors harmless from and against any and all third party claims, actions or proceedings of any kind and from any and all damages, liabilities, costs and expenses relating to or arising out of any breach or alleged breach of any of the warranties, representations or agreements of entrant hereunder.

7. Prizes:

The grand prize winner will receive $200, a cut on the new Lifeline Cry Vinyl Single, and two copies of the released product.
The prizes are not transferable or assignable and they are not redeemable for cash, except that the Sponsors reserve the right to substitute a prize of equal or greater value if the prize is unavailable. Winners are responsible for the payment of any and all taxes and/or licenses and/or other related local, State, Federal and/or National fees that may apply to such winnings. Any prize won by a person who is a Minor will be awarded only in the name of his/her parent or legal guardian on behalf of the Minor.

8. Conditions:

The Sponsors reserve the right, in their sole discretion, to cancel or suspend the Contest if any bug, virus or other cause beyond the Sponsors' control corrupts the administration or security of the Contest. The Sponsors may prohibit any person from participating in the Contest if, in the sole opinion of the Sponsors, such person repeatedly shows a disregard for these Official Rules; acts in an unsportsmanlike manner; acts with intent to annoy, abuse, threaten or harass any other participant or any representative of any Sponsor; or acts in any other disruptive manner. Contest entries may be disqualified in the Sponsors' sole discretion if attempts are made to disrupt the Contest or circumvent the provisions of these Official Rules; in such event, the Sponsors reserve the right to remedy any such action, disruption or circumvention in a manner which is, in the Sponsors' sole opinion, fair and equitable to Contest participants. The Sponsors (and their officers, directors, employees, shareholders, agents and representatives, and the parent companies, subsidiaries and affiliates of the foregoing, and the advertising, promotion and legal advisors thereof) are not responsible for: (a) late, lost, delayed, damaged, misdirected, incomplete, illegible or unintelligible entries, (b) any failure or malfunction of, or difficulty with, any telephone line, cable line or other means of transmission, or any computer or other equipment, or any software or other program, (c) errors in transmission, (d) any condition caused by events beyond the control of the Sponsors that may cause damage to any participant's hardware or software, (e) any injury, loss or damage of any kind caused by any prize or resulting from acceptance, possession or use or misuse of any prize, or from participation in the Contest or any Contest related activity, or (f) any printing or typographical error in any materials associated with the Contest.

9. Governing Law and Arbitration:

This Agreement shall be governed and construed under the laws of the State of New York, without application of its conflict of laws principles. Any controversy or claim arising out of or relating to this Agreement, its enforcement, arbitrability or interpretation, shall be submitted to final and binding arbitration, to be held in New York, NY, before a single arbitrator, in accordance with New York Code of Civil Procedure 1280 et seq. The arbitrator shall be selected by mutual agreement of the parties or, if the parties cannot agree, by selecting from a list of arbitrators supplied by the American Arbitration Association or JAMS/Endispute. The arbitration shall be a confidential proceeding, closed to the general public. The arbitrator shall issue a written opinion stating the essential findings and conclusions upon which the arbitrators award is based. The parties will share equally in payment of the arbitrators fees and arbitration expenses and any other costs unique to the arbitration hearing; provided, however, that each side shall bear its own deposition, witness, expert and attorneys fees and other expenses to the same extent as if the matter were being heard in court. Nothing in this paragraph shall affect either partys ability to seek from a court injunctive or equitable relief at any time.

10. Further Documentation:

If Sponsors desire to secure additional assignments or other documents as Sponsors may reasonably require in order to effectuate the ownership of the Rights, then each entrant agrees to sign the same upon Sponsors request.

11. No Obligation To Use:

Sponsors shall have no obligation (express or implied) to use the winning Remix(es), or to develop, produce, distribute or otherwise exploit the winning Remix(es), and the winner(s) shall not be entitled to any damages or other relief by reason thereof.

12. Nature Of Relationship / Waiver Of Equitable Relief:

Each entrant hereby acknowledges and agrees that the relationship between the entrant and Sponsors is not a confidential, fiduciary, or other special relationship, and that the entrants decision to provide the entrants Remix(es) to Sponsors for purposes of the Contest does not place Sponsors in a position that is any different from the position held by members of the general public with regard to elements of the entrants Remix(es). Each entrant understands and acknowledges that Sponsors have wide access to ideas and material and that new ideas are constantly being submitted to them or being developed by their own employees. Each entrant also acknowledges that many ideas or stories may be competitive with, similar or identical to the Remix(es) and/or each other in tempo, rhythm, beat, harmony, theme, format or other respects. Each entrant acknowledges and agrees that such entrant will not be entitled to any compensation as a result of Sponsors use of the Remix(es) or any such similar or identical material that has or may come to Sponsors from other sources. Each entrant acknowledges and agrees that Sponsors do not now and shall not have in the future any duty or liability, direct or indirect, vicarious, contributory, or otherwise, with respect to the infringement or protection of the entrants rights, if any, in the Additional Elements. Finally, each entrant acknowledges that, with respect to any claim by entrant relating to or arising out of Sponsors actual or alleged exploitation or use of any Remix(es) or other material submitted in connection with the Contest, the damage, if any, thereby caused to the applicable entrant will not be irreparable or otherwise sufficient to entitle such entrant to seek injunctive or other equitable relief or in any way enjoin the production, distribution, exhibition or other exploitation of anything based on or allegedly based on the Remix(es), and entrants rights and remedies in any such event shall be strictly limited to the right to recover damages, if any, in an action at law.

13. Invalidity:

The invalidity or unenforceability of any provision of these Official Rules shall not affect the validity or enforceability of any other provision. In the event that any provision is determined to be invalid or otherwise unenforceable or illegal, these Official Rules shall otherwise remain in effect and shall be construed in accordance with their terms as if the invalid or illegal provision were not contained herein.
