In early June, all eligible bands who submit will be featured on the Simple Shoes Road to Reeperbahn website, where your fans and fans of Simple Shoes can discover and download cool, new music like yours. The 50 bands with the most downloads will move on to be reviewed by a panel of judges from Simple Shoes and the Reeperbahn Festival.


The ten resulting finalists will get Simple shoes and a top secret mission to create a video for fans to vote on. The band whose video receives the most votes will play at Reeperbahn ® a 3-day music festival on the Hamburger Reeperbahn, featuring over 150 live shows on more than 20 stages in front of 15,000 festival goers and €3600 EUR to get there. This year's festival takes place September 23-25, 2010.

Entry Restrictions: Contest open to residents over 18 years of age in the United Kingdom, Northern Ireland, Germany, and the Netherlands ONLY.

License: By entering the contest, bands are granting Promoter a perpetual, worldwide license to use song and video, and to make them available for free download for a period of one year.

Prize: A grand prize of a spot for your band to perform at the 2010 Reeperbahn Music Festival, a €3600 stipend to be used towards travel expenses to/from the Festival and a pair of Simple ® shoes for each current band member. TERMS AND CONDITIONS for Simple Band Contest

(United Kingdom and Northern Ireland, Netherlands, and Germany Residents Only):

ELIGIBILITY
NO PURCHASE NECESSARY. A PURCHASE WILL NOT INCREASE YOUR CHANCES OF WINNING. Contest is open only to legal residents of the United Kingdom and Northern Ireland, Netherlands, and Germany who are eighteen (18) years or older at time of entry. Entries are limited to individuals only; commercial enterprises and business entities are not eligible. Employees or contract employees of Deckers Europe Limited or Sonicbids Corporation and their respective affiliates, subsidiaries, agents, and parents and their immediate families or persons living in the same household of such individuals, are ineligible. Contest is subject to all applicable laws and regulations. Void where prohibited or restricted by law or regulations.

ENTRY SCHEDULE
The contest begins at 12:01 AM, Eastern Standard Time (EST) on 30th of April, 2010 and ends on 31st of May, 2010 at 11:59 PM GMT. Entries must be received by 11:59 PM (EST), 31st of May, 2010.

HOW TO ENTER
There is a limit of one (1) entry per band. Enter online at www.sonicbids.com/simpleshoes by completing online entry form and uploading your song and completed Sonicbids Electronic Press Kit (EPK). Entrant will be required to provide name; e-mail address; age; song title; band name; and, if applicable, the name of all individuals in the band, their e-mail address, and age. Only an individual playing in the song can enter the contest. Persons cannot enter for bands they are not a member of and for band members they do not have permission from. Entry must contain one (1) original song only that is no longer than five (5) minutes in duration. Song must consist of vocals AND musical instruments. Song can be in English or another language and can be any genre. Entries will be ineligible if they: (i) do not contain vocals AND musical instruments; (ii) contain vulgar, obscene or indecent language or behavior; (iii) defame or libel any third party, or constitute an invasion of their privacy; (iv) are otherwise deemed inappropriate in the sole discretion of Promoter; or (iv) violate any third partys copyrights or other rights. Please see the Additional Rules section below for other important song licensing requirements.

All entries become the property of the Promoter. They will not be returned or acknowledged. Promoter is not responsible for lost, late, misdirected, mutilated, incomplete, illegible entries. Entries are void in the sole opinion of the Promoter if they are in whole or in part illegible, incomplete, damaged, irregular, altered, counterfeit, produced in error, or obtained through fraud or theft. By entering you agree to be bound by these Terms and Conditions.

Entries will be declared made by the authorized account holder of the e-mail address submitted at the time of entry. "Authorized account holder" is defined as the natural person who is assigned to an e-mail address by an Internet access provider, online service provider, or other organization (e.g., business, educational institution, etc.) that is responsible for assigning e-mail addresses for the domain associated with the submitted e-mail address.

PRIZE
There are a total of ten (10) prizes. One (1) Simple Band Contest grand prize winner will be selected. The Simple Band Contest grand prize will consist of: (i) a travel stipend to the Reeperbahn Music Festival 23-25th of September 2010 in Hamburg, Germany, in the amount of Three Thousand Six Hundred Euros (3600) to be used for any and all travel expenses for the Festival. All travel and accommodations must be arranged by winner.; (ii) a spot to perform at the Reeperbahn Music Festival; and (iii) a pair of Simple shoes for each current member of the band (up to six (6) pairs). Color, size and style based on availability. Approximate retail value (ARV) of Simple shoes: Eighty Euro (80) per pair. The remaining nine (9) finalists will each receive a pair of Simple shoes for each current member of the band (up to six (6) pairs) Color, size and style based on availability. Approximate retail value (ARV) of Simple shoes: Eighty Euro (80) per pair. All winners will be responsible for all expenses including, without limitation to, airfare, hotel rooms, meals, gratuities, ground transportation and miscellaneous travel l expenses; and all applicable taxes including, without limitation to, VAT. Any winner in the Netherlands will be responsible for paying the games of chance tax. Prizes are non-transferable and no substitution by winners or cash equivalent is allowed. Promoter reserves the right to substitute prize in which case a prize of equal or greater value will be awarded. Actual retail value may vary based on location of Simple Band Contest winner's residence and other variables. Any difference between approximate retail value and actual retail value will not be awarded. No prize transfer, assignment, or substitution by Simple Band Contest winner permitted. If the Simple Band Contest winner declines the prize or is unavailable for prize fulfillment, an alternate winner may be selected from all remaining eligible entries.

WINNER SELECTION

After the song submission period ends on 31st of May 2010, the public will be able to download the submitted songs beginning on the 3rd of June 2010 and ending on 30th of June 2010. During this period, bands are encouraged to reach out to their fans to download their song. The top one hundred (100) bands with the most downloads will be narrowed down, by a panel of judges from Simple and Reeperbahn Music Festival, to ten (10) finalists. The top ten (10) finalists will be judged based on the following four (4) criteria: (i) Originality (25%), (ii) Embellishments (25%), (iii) Technique/Craftsmanship (25%); and (iv) Expressiveness (25%). In the event of a tie, the entrants will be re-judged based on: (i) Originality (50%) and (ii) Technique/Craftsmanship (50%). These ten (10) finalists will be notified on the 8th of July 2010.

The top ten (10) finalists must submit a video of the song which was originally submitted. To be eligible for the grand prize, bands must confirm their ability and intention to submit their video by the deadline of 16th July 2010. Videos must be submitted by the deadline of 30th of July, 2010. Failure to confirm an intended video submission by 16th of July 2010 and a video submission by 30th July 2010 will result in forfeiture and an alternate finalist will be selected. The video will be judged by a panel of two [2] judges from Simple and two [2] judges from Reeperbahn Music Festival, along with at least one (1) independent individual, based on the following four (4) criteria: (i) Creativity (25%); (ii) Melody and Music (25%); (iii) Lyrics (25%) and (iv) Entertainment Value (25%). In the event of a tie, the entrants will be re-judged based on: (i) Creativity (50%) and (ii) Melody and Music (50%). Names of judges are available on request after the closing date of the promotion by sending a separate stamped-addressed envelope to Simple shoes (Deckers Europe Limited), 83-84 George Street, Richmond, Surrey, TW9 1HE, United Kingdom

The top ten (10) finalists videos will be posted on simpleshoes.sonicbids.com. The fans will ultimately select the grand prize winner. Fan voting will begin on the 3rd of August, 2010 and end on the 16th of August, 2010. The potential grand prize winner will be notified on or about 20th August, 2010 by email.

REDEMPTION AND VERIFICATION
To redeem the prize, the potential Simple Band Contest winner must respond within ten (10) days of receipt of prize notification by email. Simple Band Contest winner will be required to submit their shipping address and sizing information to Simple along with their response to the prize notification. Failure to comply will result in the forfeit of the Simple Band Contest prize and the selection of a substitute Simple Band Contest winner from remaining eligible entries.

In the United Kingdom and Northern Ireland, and the Netherlands, the Simple Band Contest winner and finalists hereby consent to allow the Promoter to use their name, image and likeness for all promotional purposes related to the Simple Band Contest.

In Germany, the potential Simple Band Contest winner will be required to sign and return via email within seventy two (72) hours of receipt of an Image Permission granting Promoter rights to use the Simple Band Contest winner and finalists name, imagine and likeness for all promotional purposes related to the Simple Band Contest.

All prize claims are subject to verification and compliance with these Terms and Conditions.

LIMITATION ON LIABILITY

Entry materials/data that have been tampered with or altered are void in the sole opinion of the Promoter. The Promoter is not responsible for: (i) lost, late, stolen, misdirected, damaged, garbled, or illegible entries; (ii) error, omission, interruption, deletion, defect, delay in operations or transmission, theft or destruction or unauthorized access to or alterations of entry materials, or for technical, network, telephone equipment, electronic, computer, hardware or software malfunctions of any kind, or inaccurate transmission of or failure to receive entry information by the Promoter on account of technical problems or traffic congestion on the Internet or at any web site or any combination thereof; or (iii) any injury or damage to entrants or any other persons computer related to or resulting from participating in the contest. CAUTION: ANY ATTEMPT BY ANY PERSON TO DELIBERATELY DAMAGE ANY WEB SITE OR UNDERMINE LEGITIMATE OPERATION OF THE CONTEST IS A VIOLATION OF CRIMINAL AND CIVIL LAWS. SHOULD SUCH AN ATTEMPT BE MADE, THE PROMOTER RESERVES THE RIGHT TO SEEK DAMAGES FROM ANY SUCH PERSON TO THE FULLEST EXTENT PERMITTED BY LAW.

RIGHT TO CANCEL OR SUSPEND CONTEST
If for any reason the contest is not capable of running as planned, due to tampering, unauthorized intervention, fraud, technical failures, or any other causes beyond the control of the Promoter that corrupt or affect the administration, security, fairness, integrity, or proper conduct of this contest, the Promoter reserves the right, in its sole discretion, to disqualify any individual(s) who tamper with the entry process, and/or to cancel, terminate, modify, or suspend the contest.

CONDITIONS OF PARTICIPATION
Participants agree to release, discharge and hold harmless to the fullest extent permitted by law the Promoter, and their partners, affiliates, subsidiaries, advertising agencies, agents and their employees, officers, directors, and representatives from any claims, losses, and damages arising out of their participation in this contest or any contest-related activities and the acceptance and use, misuse, or possession of any prize awarded hereunder. This does not apply to claims resulting from wrongful death or personal injury, nor does it apply to claims resulting from damage caused intentionally by, or through negligence on the part of, the Promoter. In Germany, this does also not apply to typically foreseeable damages in case of a slightly negligent violation of a fundamental duty of these Terms and Conditions by the Promoter.

By participating in the contest, you (i) agree to be bound by these Terms and Conditions, including all eligibility requirements, and (ii) agree to be bound by the decisions of the Promoter, which are final and binding in all matters relating to the contest. Failure to comply with these Terms and Conditions may result in disqualification from the contest. Promoter reserves the right in its sole discretion to: (i) permanently disqualify from any contest it sponsors any person it believes has intentionally violated these Terms and Conditions; and (ii) suspend, modify or terminate the contest if the Promoter believes, in its sole discretion, that malfunction, error, disruption or damage is impairing or will impair the administration, security, fairness, integrity or proper play of the contest. If contest is terminated before the end date, the Promoter will determine the winners according to the judging criteria set forth above from all eligible entries received as of the termination date. Entry constitutes consent to the use of prize winners' name, voice, picture and/or likeness, and song and video submitted as part of the entry process, without compensation for advertising, promotional or commercial purposes.

ADDITIONAL RULES

If entrant is an individual, entrant represents and warrants that: (i) he/she is the sole and exclusive owner of all rights to the song and video submitted as part of the entry process, including without limitation all copyrights therein, and the song and video are free of any adverse claim by any person or entity; (ii) he/she is the individual performing in the song and video; (iii) the song and video will not violate or infringe upon the copyright, literary, privacy, publicity, trademark, service mark or any other personal or property right of any person or entity and will not constitute a libel or defamation of any third party; (iv) he/she has all necessary rights to grant the rights set forth below; (v) if the song and video have been submitted in any other contest or competitions and/or to any media it has not been done on an exclusive basis. If entrant is a band, each individual band member appearing in the entry materials and the song and video represents and warrants that: (i) they are the sole and exclusive owners of all rights to the song and video submitted as part of the entry process, including without limitation all copyrights therein, and the song and video are free of any adverse claim by any person or entity; (ii) they are the individuals performing in the song and video; and (iii) the song and video will not violate or infringe upon the copyright, literary, privacy, publicity, trademark, service mark or any other personal or property right of any person or entity and will not constitute a libel or defamation of any third party; (iv) they have all necessary rights to grant the rights set forth below; (v) the song and video have not been previously published or submitted, on an exclusive basis, in any other contest or competitions and/or to any media. For a period of one (1) year, ending on June 3, 2011, entrant and each individual band member appearing in the entry materials (if song and video contains more than one individual) grant the Promoter a worldwide, royalty-free, non-exclusive, sublicensable, unconditional, perpetual and transferable right and licence to use the song and video for any advertising, promotional or commercial purposes, including without limitation, the right to publicly display, perform, reproduce, publish and distribute the song and video in any media format or medium and through any media channels (now known or hereafter developed). , including without limitation, the song and video being offered as a free download on www.simplebandcontest.sonicbids.com. Link to free song and video download can also be found on Simple shoes (Deckers Outdoor Corporation) website (www.simpleshoes.com). Entrant hereby agrees to defend, indemnify and hold harmless the Promoter and its officers, directors, employees, agents, parent companies, affiliates, subsidiaries, licensees, successors, assignees, against any and all third party claims, damages, liabilities, costs and expenses, including reasonable legal fees and expenses, arising out of or related to any breach by the entrant of any provision of this document, including, without limitation, entrant's representations and warranties.

DATA PROTECTION NOTICE TO INDIVIDUALS

Participants in the Simple Band Contest may be asked to indicate their consent, by ticking or checking a box provided in the competition instructions or otherwise, to receive or decline to receive communications with information or carefully selected commercial opportunities from Deckers or agents on their behalf. Deckers will hold any personal details it is entitled to hold on its own or a duly authorized agents registered database for the purposes of optimizing its commercial offering to consumers, actual or potential. Participants will also be asked to indicate their consent to have that data used from time to time by other carefully selected organizations which may be licensed by Deckers to use it.

Any individual (or duly authorized person) may elect to exclude the name and email address of that individual from all lists used by the Promoter by submitting a removal request in writing to Deckers Europe Limited at mailing address above.

JURISDICTION

In the United Kingdom and Northern Ireland, these Terms and Conditions and the Simple Band Contest are subject to the laws of the United Kingdom and any dispute arising out of or in relation to their interpretation or application shall be dealt with by the Courts of England and Wales. In the Netherlands, they are subject to Dutch law and jurisdiction and participants should contact Decker Europe Limited at the above mailing address with any complaints about the promotion in the first instance. In Germany, these Terms and Conditions and the Contest are subject to German law and jurisdiction.
