    BURGER KING TU CIUDAD, TU MSICA PROMOTION
    OFFICIAL RULES
    NO PURCHASE REQUIRED TO ENTER OR WIN
    1. ELIGIBILITY: The Burger King Tu Cuidad, Tu Msica Promotion (the Promotion) is open only to legal residents of the United States of America who are eighteen (18) years of age or older at the time of entry. Employees of Burger King Corporation, Legacy Marketing Partners, LLC, Cardenas Marketing Network, or other companies associated with the Promotion, as well as the immediate family (spouse, parents, siblings, and children) and household members of each such employee, are not eligible to participate. The Promotion is subject to federal, state, and local laws and regulations and is void where prohibited by law.
    2. SPONSOR AND ADMINISTRATOR: The Promotion is sponsored by Burger King Corporation, 5505 Blue Lagoon Drive, Miami, FL 33126 (the Sponsor). The Promotion is administered by Legacy Marketing Partners, LLC, 640 North LaSalle Street, Suite 295, Chicago, IL 60610 (the Administrator).
    3. AGREEMENT TO OFFICIAL RULES: Participation in the Promotion constitutes your full and unconditional agreement to and acceptance of these Official Rules and the decisions of the Sponsor and the Administrator, which are final and binding. Winning is contingent upon fulfilling all requirements set forth herein.
    4. ENTRY PERIOD: The Promotion begins on January 1, 2009, at 12:00:01 a.m. and ends on June 30, 2009, at 11:59:59 p.m. (the Entry Period). Visit the promotion web site (www.BurgerKingMusica.Com) for additional details and entry deadlines for each participating designated market area (DMA).
    5. ENTRY MATERIALS: To enter, you must submit a press kit consisting of the following materials: (a) a recording of at least one (1) full-length original song; (b) lyrics for each song submitted; (c) a band biography; (d) performance history and current schedule; (e) at least one (1) high-resolution photograph of the band; (f) contact information for the band, including a website, if available; and (g) press reviews and interviews, if available. Neither the songs nor any other entry materials may contain words, images, or other content that may be deemed obscene, offensive, or in poor taste as determined by the Sponsor, in its sole discretion.
    6. HOW TO ENTER: Entries may be submitted by mail or online. Submissions by mail must be addressed to Legacy Marketing Partners, Attn: Tu Ciudad, Tu Msica, 640 North LaSalle Street, Suite 295, Chicago, IL 60654 and must be received by the published date. Submissions will become property of the Sponsor and will not be acknowledged or returned. Proof of sending does not constitute proof of receipt by the Sponsor. To submit your materials via our official website, visit www.BurgerKingMusica.com and follow the instructions to upload your files. Music files must be in an MP3 format. Photographs must be in a JPG, GIF, TIF, BMP, or PSD format and each photograph should be under 4 MB. Or, you can submit an electronic press kit (EPK) via Sonic Bids at www.sonicbids.com. There is a limit of one (1) submission per solo artist or band. Each solo artist or band should enter their submission into one of the ten (10) participating DMAs listed on the web site.
    7. ENTRANTS REPRESENTATIONS: By submitting an entry, you represent and warrant that (a) any song you submit was written by you or another person in your band, (b) any song, photograph, or other materials you submit do not infringe any right of, or violate any obligation to, any other person or entity, and (c) you have not previously sold, assigned, licensed, pledged, or otherwise encumbered the submissions.
    8. RIGHTS TO ENTRIES: By submitting an entry, you grant the Sponsor and its agents the absolute right and permission to use any and all of the Entry Materials you submitted, or to refrain from doing so, in any manner or media whatsoever (whether known or hereafter devised), worldwide, for advertising and promotional purposes at no cost to Sponsor. You warrant that you have the ability to grant all the aforementioned rights to the Sponsor and you agree to indemnify, defend and hold harmless the Sponsor and Administrator from any and all claims, injuries, damages, expenses or losses and/or liabilities of any nature that in any way relates to or arise from the Sponsors use of your Entry Materials or your participation in the Promotion. Nothing herein shall constitute an employment, joint venture, or partnership relationship between you and the Sponsor. In no way are you to be construed as the agent or to be acting as the agent of the Sponsor.
    9. SELECTION OF SEMI-FINALISTS AND FINALISTS: All submissions will be reviewed by the Administrator according to the following Judging Criteria: level of talent, originality of songwriting, audience appeal, frequency of performance, and general popularity. Six (6) Semi-finalists will be selected from all eligible entries in each of ten (10) participating DMAs, including Chicago, New York, Denver, San Francisco, Atlanta, Houston, Los Angeles, San Antonio, Miami and McAllen, TX. Semi-finalists will then be posted on the Burger King Tu Ciudad, Tu Msica website and entered into an online-voting contest via a web hosted widget. There is a limit of one (1) vote per person per day. Four (4) Finalists from each DMA will be determined based on the highest number of online votes received within a pre-determined timeframe.
    10. SELECTION OF DMA WINNER: The four (4) Finalists from each of the ten (10) DMAs will be notified by a representative of the Administrator and will be invited to compete in a Burger King Tu Ciudad, Tu Msica Live Event in the nearest DMA (exact date, time and location TBD by Administrator and/or Sponsor). The presentations of the Live event may not be obscene, offensive, or in poor taste as determined by the Sponsor, in its sole discretion. The four (4) Finalists from each DMA will be judged by a panel based on their level of talent, originality of songwriting, audience appeal and stage presence. The winner of the Burger King Tu Ciudad, Tu Msica Live Event in each DMA (total of 10) will receive $2,500, a Burger King Tu Ciudad, Tu Msica branded guitar with an approximate retail value (ARV) of $450.00 each, an exclusive feature on the Burger King Tu Ciudad, Tu Msica website, , as well as exposure via select and limited national added-value TV broadcast and syndicated radio opportunities, to be determined by Sponsor in its sole discretion.

    11. SELECTION OF NATIONAL WINNER: The winner from each DMA (total of 10) will be posted on the Burger King Tu Ciudad, Tu Msica website and entered into a national on-line voting contest via a web hosted widget. All online votes must be cast between June 22, 2009 at 12:00:01 a.m. and July 5, 2009 at 11:59:59 p.m. to be counted. There is a limit of one (1) vote per person per day. The winner of the national contest will be determined based on the highest number of online votes received within a pre-determined timeframe. The winner will then receive the opportunity to open for a signed artist on two (2) national concert tour dates. Exact time, date, location and artist to be determined by the Sponsor, in its sole discretion. Reasonable and limited travel and transportation costs will be covered by Sponsor, in its sole discretion. This includes (a) round-trip coach-class airfare for two (2) from the airport closest to the winners home to the concert location, (b) two (2) nights of hotel accommodations, and (c) ground transportation between the airport and the hotel. Further details will be provided to the Finalists. The ARV of the prize is $10,000.
    12. FOR ALL PRIZES: Any prize details not specified herein will be determined by the Sponsor, in its sole discretion. All expenses, costs, and taxes not expressly listed above are solely the winners responsibility. Prizes are not transferable. No cash or other substitution is allowed, except by the Sponsor who may substitute a prize with another prize of equal or greater value if the advertised prize becomes unavailable, as determined by the Sponsor in its sole discretion. A prize may be reported as income to a winner and the winner will be responsible for payment and reporting of all applicable taxes associated with the receipt of a prize.
    13. REQUIREMENTS OF POTENTIAL WINNERS: Except where prohibited, each member of a band selected as a Finalist will be required to sign and return an affidavit of eligibility and a liability/publicity release within fourteen (14) days of being notified. If each member of a Finalist band does not sign and return the required documents within the required time period or is otherwise ineligible to receive the prize, an alternate Semi-Finalist and Finalist may be selected in his/her place according to the selection procedures set forth above. Select finalists may be asked to appear and/or perform at a BURGER KING restaurant in their home DMA, full details to be determined at the time of engagement.
    14. GENERAL CONDITIONS: In the event that the operation, security, or administration of the Promotion is impaired in any way for any reason, including, but not limited to problems with the mail, fraud, virus, or other technical problem, the Sponsor may, in its sole discretion, either: (a) suspend the Promotion to address the impairment and then resume the Promotion in a manner that best conforms to the spirit of these Official Rules; or (b) award the prizes according to the selection procedures set forth above from among the eligible entries received up to the time of the impairment. The Sponsor reserves the right in its sole discretion to disqualify any individual it finds to be tampering with the entry process or the operation of the Promotion or to be acting in violation of these Official Rules or in an unsportsmanlike or disruptive manner. Any attempt by any person to undermine the legitimate operation of the Promotion may be a violation of criminal and civil law, and, should such an attempt be made, the Sponsor reserves the right to seek damages from any such person to the fullest extent permitted by law. The Sponsors failure to enforce any term of these Official Rules shall not constitute a waiver of that provision.
    15. RELEASE AND LIMITATIONS OF LIABILITY: By participating in the Promotion, you agree to release indemnify, defend and hold harmless the Sponsor, Administrator, their related companies, and their respective officers, directors, employees, and agents, including, but not limited to, Cardenas Marketing Network (the Released Parties) from any and all claims, injuries, damages, expenses or losses and/or liabilities of any nature that in any way relates to or arise from your participation in the Promotion or receipt or use of any prize, including but not limited to: (a) unauthorized human intervention in the Promotion; (b) technical errors related to computers, servers, providers, or telephone or network lines; (c) printing errors; (d) lost, late, postage-due, misdirected, or undeliverable mail; (e) errors in the administration of the Promotion or the processing of entries; (f) injury or damage to persons or property which may be caused, directly or indirectly, in whole or in part, from your participation in the Promotion or receipt of any prize; or (e) alleged infringement of any intellectual property right. Except where prohibited, you agree that: (a) any and all claims, judgments and awards shall be limited to actual out-of-pocket costs incurred, including costs associated with entering this Promotion, but in no event attorneys fees; and (b) under no circumstances will you be permitted to obtain awards for, and you hereby waives all rights to claim, punitive, incidental and consequential damages and any other damages, other than for actual out-of-pocket expenses, and any and all rights to have damages multiplied or otherwise increased.
    16. DISPUTES: Except where prohibited, you agree that any and all disputes, claims and causes of action arising out of, or connected with, the Promotion or any prize awarded shall be resolved individually, without resort to any form of class action, and exclusively by the appropriate court located in Florida. All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules, your rights and obligations, or the rights and obligations of the Sponsor in connection with the Promotion, shall be governed by, and construed in accordance with, the laws of Florida, without giving effect to any choice of law or conflict of law rules (whether of Florida or any other jurisdiction), which would cause the application of the laws of any jurisdiction other than Florida.
